Annual General Meeting 2022

Notice of Annual General Meeting (AGM)

Date: June 8th, 2022 Time: 7:00 pm Location: Walter Baker Centre Food Court

This year's AGM will be held in person! All NGHA Members are encouraged to attend (note: only Members who are 18 years and older are eligible to vote).

If you have any questions that you would like to be addressed at the AGM, please send them no later than May 21, 2022 to the President, Tracey Gillies, at the following email address: NGHApresident@gmail.com. 

Volunteers for upcoming 2022-23 season:

We are looking for volunteers for various jobs within the NGHA without requiring the commitment of being on the Board.

We are looking for volunteers to fill the following roles:

• Tournament director
• Tournament volunteers
• Website manager(s)
• Jersey manager
• House league convenors
• Competitive convenors

Agenda for AGM:

1. Presentation and adoption of the minutes of the 2021 Annual General Meeting
2. Presentation of the Mary Lou Zywicki Bursaries
3. Presentation of the Les Banks Bursary
4. Report from the President
5. Reports from Directors and Committees
6. Reports from the auditors
7. The Budget for the ensuing year and audit changes
8. Other business of interest and concern to the members
9. Amendment to the Constitution
10. Election of Officers and Directors
11. Adjournment
    
    

Elections:

The following Board of Directors' positions (2-year terms) have been acclaimed:

• President: Claire Bellefeuille
• Vice President of Programs: Marty White
• House League Director: Lisa Camilucci
• Director, Policy, Risk and Player Safety: Kevin Singer
• Secretary: Rob Mahoney
• Registrar: Rachel Ellison

The Competitive Director (2) positions will be elected at the AGM. The following members have applied, and will have 2 minutes each to present at the AGM prior to the vote:

• Wayne Duggan
• Justin Jedlinski
• Kim LeClair

The following positions are not up for election:

• Vice President of Operations (Chad Chambers)
• House League Director 2 (Tracy Foster)
• Treasurer (Ray Murphy)

Members will also be voting on the following amendments to the NGHA Constitution:

1. Under Section 3.4 Qualification of Officers and Directors:

• f) No person may be nominated for, acclaimed to or elected to any Board position if their spouse or partner currently occupies a Board position.

2. Under Section 7 Financial:

• 7.6. Annual Financial Statements The Corporation shall make available a copy of the Financial Statements from the previous year to all Members at the Annual General Meeting.  The Financial statements will have been subject to an assurance engagement performed by an independent auditor.

• 7.7. Assurance engagement provider:

  a)The Members shall by ordinary resolution at each annual meeting appoint an independent assurance engagement provider to hold office until the next annual meeting, and if an appointment is not so made, the assurance provider in office will continue in office until a successor is appointed.

  b)The Directors may, if a quorum of the Directors is then in office, fill any vacancy in the office of the assurance engagement provider arising between annual meetings.

  c)The person or firm appointed as assurance engagement shall be independent of the Corporation, its affiliates, the Directors and Officers.
